Terms of Service – Cloudsilicon Limited

These Terms of Service (“Terms”) govern your use of the products and services offered by Cloudsilicon Limited (“Cloudsilicon,” “we,” “our,” or “us”). By purchasing, accessing, or using our services, you (“you” or “Customer”) agree to be bound by these Terms.
1. Company Role
Cloudsilicon Limited is a reseller of cybersecurity products (“Vendor Products”).
The Vendor Products, including Bitdefender, are governed by their own terms of service and privacy policies.
Cloudsilicon does not guarantee the performance, results, or functionality of Vendor Products.
2. Eligibility
You must be at least 18 years of age and legally authorized to enter into agreements on behalf of yourself or your business.
3. Billing and Payments
Currency:
Canadian clients are billed in CAD.
Clients outside Canada are billed in USD.
Taxes:
We charge GST/HST to Canadian clients in accordance with Canadian law.
No sales tax is applied for billing addresses outside Canada.
Billing Cycle: Services are billed monthly in advance.
Payment Method: Customers must provide valid payment details.
4. Refunds and Returns
All sales are final.
Once goods, licenses, or services are delivered or activated, they cannot be refunded, cancelled, exchanged, or adjusted in any way.
Customers are responsible for ensuring product compatibility and suitability prior to purchase.
5. No Warranties
Cloudsilicon provides products and services “as-is” and “as-available.”
We make no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
Security outcomes cannot be guaranteed.
6. Limitation of Liability
Cloudsilicon Limited shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to the use of Vendor Products or our services.
You acknowledge that Cloudsilicon is not the manufacturer or developer of Vendor Products.
Your sole recourse for product-related issues lies with the vendor (e.g., Bitdefender).
In no event shall our total liability exceed the amount you paid to Cloudsilicon in the three (3) months preceding the claim.
7. Indemnification
You agree to indemnify and hold harmless Cloudsilicon, its directors, officers, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of our services or Vendor Products.
8. Termination
Either party may terminate services with written notice, subject to any ongoing billing cycle.
Cloudsilicon may suspend or terminate access if you breach these Terms or applicable laws.
9. Intellectual Property
All intellectual property rights in Vendor Products remain with their respective vendors.
Cloudsilicon retains ownership of its website content, branding, and materials.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.
Any disputes shall be resolved in the courts of Ontario, Canada.
11. Force Majeure
We are not responsible for delays or failures due to events beyond our reasonable control (including cyberattacks, natural disasters, internet outages, or governmental actions).
12. Changes to Terms
We may update these Terms at any time. Continued use of our services after updates constitutes acceptance of the revised Terms.
